1. Acceptance of Terms
By accessing and using GentleMist's lead generation and advertising services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Service Description
GentleMist provides lead generation, online advertising promotion, and social network integration services. Our platform uses artificial intelligence and automation to identify, target, and engage potential customers on behalf of our clients.
2.1 Lead Generation Services
We provide qualified leads based on your specified criteria. Payment is due only for leads that respond to initial outreach efforts, as defined in your service agreement.
2.2 Advertising Services
We manage and optimize advertising campaigns across multiple platforms including but not limited to Google Ads, Facebook Ads, LinkedIn Ads, and other digital advertising networks.
2.3 Social Network Integration
Our services include automated outreach and engagement across professional and social networks, conducted in compliance with each platform's terms of service.
3. Payment Terms
Payment for lead generation services is based on a performance model where clients pay only for qualified leads that respond to outreach efforts. Pricing ranges from $30 to $100 per replied lead, depending on the complexity of targeting, industry vertical, and campaign requirements.
3.1 Billing Cycle
Invoices are generated monthly and payment is due within 30 days of invoice date. Late payments may result in service suspension.
3.2 Refund Policy
Due to the performance-based nature of our pricing, refunds are generally not applicable. However, we offer a 30-day satisfaction guarantee for new clients.
4. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information about their target audience and business requirements
- Responding to qualified leads in a timely manner
- Ensuring their products or services comply with applicable laws and regulations
- Maintaining the confidentiality of their account credentials
- Providing feedback on lead quality to help optimize campaigns
5. Data Protection and Privacy
We are committed to protecting the privacy and security of all data processed through our platform. Our data handling practices are detailed in our Privacy Policy and comply with applicable data protection regulations including GDPR and CCPA.
5.1 Data Security
We implement industry-standard security measures including encryption, access controls, and regular security audits to protect client and prospect data.
5.2 Data Retention
Client data is retained for the duration of the service agreement plus 12 months for compliance and support purposes, unless otherwise required by law.
6. Compliance and Legal Requirements
All services are conducted in compliance with applicable laws and regulations including but not limited to CAN-SPAM Act, GDPR, CCPA, and platform-specific terms of service.
6.1 Anti-Spam Compliance
All email communications include proper identification, opt-out mechanisms, and comply with anti-spam regulations.
6.2 Platform Compliance
Social media and advertising activities comply with the terms of service of each respective platform.
7. Limitation of Liability
GentleMist's liability is limited to the amount paid by the client for services in the preceding 12 months. We are not liable for indirect, incidental, or consequential damages arising from the use of our services.
8. Termination
Either party may terminate the service agreement with 30 days written notice. Upon termination, clients remain responsible for payment of all services rendered prior to the termination date.
9. Modifications to Terms
We reserve the right to modify these terms at any time. Clients will be notified of material changes via email at least 30 days prior to the effective date of such changes.
10. Governing Law
These terms are governed by the laws of the State of Texas, United States. Any disputes arising from these terms or the use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
